Terms of Service

By accessing the Synapses platform or engaging Synapses consulting and managed-services, you agree to these Terms. Subscriptions are billed monthly or annually in advance; you may cancel at any time and your access continues until the end of the paid period. Synapses owns all platform IP; you retain full ownership of your Customer Data and may export it within 90 days of termination. Enterprise customers receive a formal SLA with uptime remedies; all other users are covered by our 99.9% monthly uptime target.

These Terms of Service ("Terms") govern your access to and use of the Synapses website (www.synapses-technology.com) and the Synapses cloud management platform (collectively, the "Service"), operated by Synapses ("Synapses", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or your organisation. By using the Service, you represent and warrant that you meet these requirements.

2. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorised access at security@synapses-technology.com.
  • You may not share credentials or allow multiple individuals to use a single named-user licence unless you have purchased a multi-seat plan.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to violate any applicable law or regulation.
  • Transmit any content that is unlawful, harmful, defamatory, or infringing.
  • Attempt to gain unauthorised access to any part of the Service or its related systems.
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service.
  • Use automated tools to scrape, crawl, or data-mine the Service without our prior written consent.
  • Resell, sublicence, or transfer access to the Service to any third party without our written consent.
  • Use the Service in any manner that could disable, overburden, damage, or impair it.

4. Subscriptions and Payment

4.1 Plans and Fees

The Service is offered on a subscription basis. Applicable fees are set out on our Pricing page and in your order form. All fees are quoted in US dollars and are exclusive of applicable taxes unless stated otherwise.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual cycle, depending on your chosen plan. Payment is due at the start of each billing period. We use a third-party payment processor and do not store your full payment card details.

4.3 Taxes

You are responsible for all taxes, duties, and levies imposed by any governmental authority in connection with your use of the Service, excluding taxes on Synapses' income.

4.4 Late Payments

If payment is not received within 10 days of the due date, we reserve the right to suspend access to the Service until the outstanding balance is settled.

5. Free Trials and Promotional Offers

We may offer free trials or promotional pricing at our discretion. At the end of any trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. We reserve the right to modify or discontinue promotional offers at any time.

6. Cancellation and Termination

  • By you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.
  • By us: We may terminate or suspend your access immediately, without prior notice, for breach of these Terms, non-payment, or if we reasonably believe your use poses a risk to the Service or other users.
  • Effect of termination: Upon termination, your right to use the Service ceases. We will retain your data for 90 days, during which you may request an export, after which it will be securely deleted.

7. Intellectual Property

7.1 Synapses IP

The Service, including all software, designs, text, graphics, and documentation, is the exclusive property of Synapses and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

7.2 Your Data

You retain ownership of all data you submit to the Service ("Customer Data"). You grant Synapses a limited, non-exclusive licence to process Customer Data solely as necessary to provide and improve the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by Synapses without restriction or compensation.

8. Confidentiality

Each party agrees to keep confidential the other party's non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Service Availability and SLA

We target 99.9% monthly uptime for the Service (excluding scheduled maintenance). Enterprise plans include a formal Service Level Agreement (SLA) with defined remedies. Scheduled maintenance windows will be communicated with at least 48 hours' advance notice where practicable.

11. Third-Party Services and Integrations

The Service integrates with third-party cloud providers (AWS, Azure, OCI) and other services. Synapses is not responsible for the availability, accuracy, or conduct of third-party services. Your use of third-party services is governed by their respective terms and policies.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SYNAPSES DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNAPSES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Synapses and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your violation of these Terms or your use of the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes may be submitted to binding arbitration or, where arbitration is not permitted, to the courts of competent jurisdiction.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by email or prominent in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service before the effective date.

17. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy and any applicable order form, constitute the entire agreement between you and Synapses regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
  • No waiver: Failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. Synapses may assign these Terms without restriction.
